By engaging our services or accessing our website, you ("Client," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms.

If you do not agree to these Terms, you must immediately discontinue use of our services and website. These Terms constitute a legally binding agreement between you and JDL Solutions.

2. Services Description

JDL Solutions provides professional strategy and structuring consulting services across business and personal verticals, including but not limited to:

  • Strategic business consulting and advisory services
  • Organizational structuring and optimization
  • Personal wealth structuring and planning guidance
  • Estate and succession planning consultation
  • Business and personal crisis management

All services are provided on a consultancy basis only. JDL Solutions does not provide legal advice, tax advice, investment advice, or accounting services. Clients are advised to seek appropriate licensed professionals for such services.

3. Client Responsibilities

As a client of JDL Solutions, you agree to:

  • Provide Accurate Information: Supply complete, accurate, and truthful information necessary for the engagement.
  • Timely Communication: Respond to requests for information and feedback within reasonable timeframes.
  • Professional Conduct: Maintain professional and respectful communication with JDL personnel.
  • Implementation Responsibility: Understand that you retain sole responsibility for implementing any recommendations or strategies discussed.
  • Compliance: Ensure compliance with all applicable laws and regulations in your jurisdiction.
  • Payment Obligations: Fulfill all payment obligations according to agreed terms.

4. Payment Terms

4.1 Fees: All fees for services are specified in your engagement agreement or as displayed on our website. Fees are subject to change with notice.

4.2 Payment Processing: Payments are processed through secure third-party payment processors (Stripe). By providing payment information, you authorize us to charge the specified fees.

4.3 Recurring Payments: For subscription-based services, you authorize automatic recurring charges until you cancel. Cancellation requires 30 days' written notice.

4.4 Refunds: Refund policies are specified in individual engagement agreements. Generally, initial consultations carry a satisfaction guarantee, while ongoing engagements are non-refundable after services commence.

4.5 Late Payments: Overdue payments may incur late fees of 1.5% per month or the maximum allowed by law, whichever is less.

5. Confidentiality and Discretion

5.1 JDL Obligations: JDL Solutions maintains the highest standards of client confidentiality. We will not disclose your identity, engagement details, or any information shared during our engagement without your express written consent, except as required by law.

5.2 Client Information: All information, documents, data, and communications you share with us ("Confidential Information") will be:

  • Held in strict confidence
  • Used solely for the purpose of providing services to you
  • Protected with industry-standard security measures
  • Accessible only to personnel directly involved in your engagement
  • Retained only as long as necessary or required by law

5.3 Mutual Confidentiality: You agree to keep confidential any proprietary methodologies, frameworks, tools, and work product provided by JDL Solutions.

5.4 Exceptions: Confidentiality obligations do not apply to information that: (a) is publicly available through no fault of the receiving party; (b) was rightfully known prior to disclosure; (c) is independently developed; or (d) must be disclosed by law or court order.

6. Intellectual Property

6.1 JDL Property: All methodologies, frameworks, templates, tools, analyses, and other materials developed by JDL Solutions prior to or independent of your engagement remain the exclusive property of JDL Solutions.

6.2 Client Property: All information, data, and materials you provide remain your property.

6.3 Work Product: Deliverables specifically created for your engagement ("Work Product") are licensed to you for your internal use. You may not resell, redistribute, or use Work Product for competitive purposes without prior written consent.

6.4 Website Content: All content on the JDL Solutions website, including text, graphics, logos, and software, is protected by copyright and trademark laws.

7. Limitation of Liability

7.1 Consultancy Nature: JDL Solutions provides consultancy and advisory services only. We do not make decisions on your behalf, nor do we guarantee specific outcomes or results.

7.2 No Warranties: Our services are provided "as is" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

7.3 Limitation of Damages: To the maximum extent permitted by law, JDL Solutions' total liability for any claims arising from or related to our services shall not exceed the total fees paid by you for the specific service giving rise to the claim during the twelve (12) months preceding the claim.

7.4 Exclusion of Consequential Damages: In no event shall JDL Solutions be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, even if advised of the possibility of such damages.

7.5 Implementation Responsibility: You acknowledge that you are solely responsible for evaluating the appropriateness of our recommendations and for any decisions or actions taken based on our advice. We are not responsible for your implementation of recommendations or any results thereof.

7.6 Third-Party Actions: We are not responsible for actions or omissions of third parties, including but not limited to legal advisors, accountants, or other professionals you engage.

8. Professional Standards and Conduct

8.1 Ethical Standards: JDL Solutions adheres to the highest professional and ethical standards in the consulting industry, comparable to those maintained by leading global consultancies.

8.2 Conflicts of Interest: We will disclose any material conflicts of interest. If a conflict arises during an engagement, we will notify you promptly and discuss appropriate resolution.

8.3 Independence: JDL Solutions maintains independence in providing advice and recommendations. We do not accept referral fees or commissions that could compromise our objectivity.

8.4 Professional Judgment: Our services are based on our professional judgment, industry experience, and best available information at the time of engagement.

9. Termination

9.1 By Client: You may terminate an engagement at any time with written notice. You remain responsible for fees for services rendered through the termination date.

9.2 By JDL: We reserve the right to terminate an engagement if: (a) you breach these Terms; (b) you fail to provide necessary information or cooperation; (c) payment obligations are not met; or (d) continuing the engagement would violate professional standards or legal requirements.

9.3 Effect of Termination: Upon termination, you must pay all outstanding fees. Confidentiality obligations survive termination indefinitely. You must return or destroy all JDL proprietary materials.

10. Dispute Resolution

10.1 Good Faith Negotiation: In the event of any dispute, both parties agree to first attempt to resolve the matter through good faith negotiation.

10.2 Mediation: If negotiation fails, both parties agree to participate in mediation before pursuing litigation.

10.3 Arbitration: Any disputes not resolved through mediation shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

10.4 Governing Law: These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which JDL Solutions is registered, without regard to conflict of law principles.

10.5 Individual Disputes Only: You agree to resolve disputes with us on an individual basis and waive any right to participate in class action lawsuits or class-wide arbitration.

11. Indemnification

You agree to indemnify, defend, and hold harmless JDL Solutions, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your breach of these Terms; (b) your implementation of recommendations; (c) your violation of any law or third-party rights; or (d) any misrepresentation in information provided to us.

12. Data Security and Privacy

12.1 Security Measures: We implement industry-standard security measures to protect your information, including encryption, secure servers, and access controls.

12.2 Data Breaches: In the event of a data breach, we will notify affected clients in accordance with applicable law.

12.3 Privacy Policy: Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

13. Force Majeure

JDL Solutions shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

14. General Provisions

14.1 Entire Agreement: These Terms, together with any engagement agreement and our Privacy Policy, constitute the entire agreement between you and JDL Solutions.

14.2 Amendments: We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Continued use of services constitutes acceptance of modified Terms.

14.3 Severability: If any provision is found unenforceable, the remaining provisions shall remain in full force and effect.

14.4 No Waiver: Failure to enforce any provision does not constitute a waiver of that provision or any other provision.

14.5 Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms to any successor or affiliate.

14.6 Notices: All notices must be in writing and sent to the addresses specified in your engagement agreement or to info@jdlimited.solutions.

14.7 Survival: Provisions relating to confidentiality, intellectual property, limitation of liability, indemnification, and dispute resolution survive termination of these Terms.
